1. Overview
Welcome to our website. By accessing this site or purchasing our marketing consulting and AI automation services, you agree to these Terms of Service. If you are acting on behalf of a business, you confirm you have the authority to bind that entity to these terms.
2. Services & AI Disclaimer
We provide B2B marketing strategy, consulting, and custom AI/machine learning automation solutions.
Statements of Work (SOW): Specific project deliverables, fees, and schedules will be outlined in separate client agreements or SOWs.
AI Systems: Our AI tools rely on probabilistic machine learning models. While built to high professional standards, AI-generated outputs are not guaranteed to be completely error-free. You are responsible for reviewing AI-generated content before public or commercial deployment.
3. Client Responsibilities
You agree to provide accurate information and credentials required to perform services. You warrant that any customer databases or contact lists provided to us comply fully with applicable laws (including TCPA, CAN-SPAM, GDPR, and CCPA).
4. Intellectual Property
Our IP: We retain ownership of all pre-existing tools, software code, frameworks, workflow systems, and proprietary AI prompts developed prior to or independently of our agreement with you.
Your Deliverables: Upon full payment, you receive a perpetual, worldwide license (or ownership transfer, as agreed in your SOW) to your custom marketing assets and scripts created specifically for your business.
5. Payments & Third-Party Fees
Invoices are payable within 14 days in USD or NOK as specified. Client is responsible for pre-approved third-party API costs (e.g., OpenAI, Twilio, or cloud hosting) incurred directly for client projects.
6. Limitation of Liability
Services and software are provided "as is" without guarantees of specific monetary ROI or conversion rates. To the maximum extent permitted by law, Dominer AS will not be liable for any indirect, consequential, or incidental damages. Our total liability is capped at the amount you paid us in the three (3) months preceding any claim.
7. Governing Law & Dispute Resolution
These Terms are governed strictly by the substantive laws of the Kingdom of Norway. Any formal legal disputes that cannot be resolved through good-faith negotiation shall be submitted exclusively to the District Court of Oslo (Oslo tingrett), Norway.
